The Constitution and By-Laws of the Old
Market Place Neighborhood Association
Ratified June 22, 2000
Article I:
NAME
The name of the Association shall be the Old Market Place Neighborhood Association (OMPNA).
Article II:
BOUNDARIES
The Association boundaries shall be Lake Mendota to the North, the even-numbered side of East Washington Avenue to the South, the odd-numbered side of North Webster and North Hamilton Street to the West, and the even-numbered side of North Paterson Street to the East.
Article III:
PURPOSE
The purpose of the Association is to:
1) Create a cohesive, community atmosphere in which neighborhood services, needs and participation is nurtured,
2) To disseminate information about the community to the residents of the neighborhood,
3) To determine possible approaches and/or solutions to problems within the neighborhood,
4) To promote community quality and safety, and
5) To protect and enhance the residential character of the area.
Article IV:
OFFICERS
President
The duties of the president shall be to arrange and preside at association meetings, represent the association at related activities, and chair the nominations and executive committees.
Vice-President
The duties of the vice-president shall be to work with and assist the president, preside at meetings in the president's absence or will, represent the association at related activities, and ensure the workings of the neighborhood newsletter or his/her designee.
Secretary
The duties of the secretary shall be to record the minutes of the meetings and to maintain the association files.
Treasurer
The duties of the treasurer shall be to maintain the association's financial records including all income and expenditures. The treasurer will be the principal signer of checks on association account. The treasurer shall be responsible for quarterly financial reports to the general membership and to solicit the membership for dues payments.
Terms
The terms of officers shall be one year. Within three months of the end of the officers' terms, the Board of Directors shall appoint a nominations committee for the purpose of bringing forth nominations for following terms.
Vacancies
In case of a vacancy of the office of vice-president, secretary, or treasurer, it shall be the duty of the Board of Directors to appoint a member to fulfill that officer's term. In case of a vacancy of the office of president, the vice president shall assume the duties of that office for the duration of the term.
Article V:
OPERATIONS AND PROCEDURES
Meetings
All OMPNA meetings are open to the public. A Board of Directors meeting will be held once a month. The date of the meeting will be voted on by the board, and then announced to the rest of the association via the newsletter or monthly agenda. One half of the board needs to be present in order to conduct business. A General Membership meeting will be held at least once every three months. A quorum shall be 10% of the general membership and shall be necessary to open all general membership meetings.
Membership
Membership in the association shall fall under the following three categories:
1) Member - All residents, who are 18 years of age or older shall be eligible for membership in the organization.
2) Business Member - One pre-appointed representative from each business, church, and non-profit organization within the association's boundaries shall be eligible for membership in the organization.
3) Associate Member - Anybody else not included in the first two categories is eligible for membership in the organization as an Associate Member. Associate Members shall have no voting rights at Association meetings. Non-Resident landlords will be invited to join the Association as Associate Members.
Dues
Membership dues are set by the association and will be voted on once a year. Dues shall be collected during the year.
Voting
Each current Member or Business Member shall be entitled to one vote on all issues and elections.
Article VI:
COMMITTEES
Board of Directors
The Board of Directors shall consist of each of the officers and the chairs of any standing committee. They shall meet monthly to discuss issues related to the neighborhood.
Executive Committee
The Executive Committee shall consist of each of the officers. They shall meet as needed to set agendas for Board of Director meetings and General membership meetings and address any issues of urgency.
Other Committees
Other committees shall be formed and dissolved on an ad hoc basis at the discretion of the Membership.
Article VII:
BYLAW REVISIONS
These bylaws shall be reviewed periodically by the general membership. Appropriate and necessary revisions shall be reviewed by the officers and approved by a 2/3 vote of the General Membership.
