BY-LAWS of
FOUR LAKES SCUBA INC.
ARTICLE I
MEMBERSHIP
A. General Member (non-diving):
- 1. There shall be no age limit.

- 2. If under age 18, there must be parental release.

- 3. The initiation fee and one year's dues must be
paid in advance.
-
- 4. A general member may not serve on the Board of
Directors.

- 5. Each general member is responsible for notifying
the Secretary of changes of address.
B. Diving Member:
- 1. If under age 18, there must be parental release.
2. Must be in good health.
3. Must be certified by a generally accepted national program.
4. The initiation fee and one year's dues must be paid in advance.
5. Each diving member is responsible for notifying the Secretary of changes
of address.
C. Associate Member:
- 1. A current general or diving member, who is
terminating his/her membership for good cause may be designated an associate
member by the Board of Directors.
D. Honorary Member:
- 1. Must be presented by an active member and
approved by the Board of Directors.
2. There shall be no dues requirement.
3. Shall have no right to vote.
E. Charter Member:
1. Any member in good standing prior to December 31, 1980.
F. Member Dismissal:
- 1. A member who is one month in arrears in payment
of dues, fees, or assessments shall be considered suspended, subject to
special consideration by the Board of Directors. During suspension the
member shall have no membership privileges. A suspended member may be
reinstated upon payment of all arrears.
2. Any member three months in arrears may have his [or her] membership
terminated by majority vote of the Board of Directors.
3. Termination of Membership for reasons other than as provided in paragraph
#2 shall require a 2/3 vote of the Board of Directors.
G. Family Member:
- 1. All members of a family may be members.
2. A "family" is defined as a husband and/or wife, and any
children of either under the age of 18 years.
ARTICLE II
DUES, FEES, AND ASSESSMENTS
A. An initiation fee of five dollars ($5.00)shall be
submitted with the application for membership. If membership is not accepted,
the fee shall be returned.
B. Annual Dues:
- 1. General membership dues shall be ten dollars
($10.00) per year.
2. Diving membership due shall be twenty dollars ($20.00) per year.
3 . Associate membership dues shall be ten dollars ($10.00) per year.
4. Family membership dues shall be thirty dollars ($30.00) per year per
family.
5. The membership year shall expire on either November 30 or May 31,
whichever provides an initial year of between 12 and 18 months.
C. Assessments may be levied as directed by majority
vote of the member s present at any regular meeting, subject to the provision of
Article VI.
ARTICLE III
MEETINGS
A. The regular general meetings of the club shall be
held on the second and fourth Wednesday of each month at 7:30 p.m.
B. Special meetings may be called by 1/3 of the
membership or by 1/3 of the Board of Directors. All members must be notified
prior to the meeting of its time, date, location and purpose.
C. The Board of Directors shall meet as necessary, but
at least once a month.
ARTICLE IV
DIRECTORS AND OFFICERS
A. Board of Directors:
- 1. The Board of Directors shall consist of no less
than three and no more than seven members elected for one year terms by all
club members at the first general meeting in January. Candidates for the Board must be diving members. The four club officers shall be ex-officer Board
members.

- 2. Three Board members shall constitute a quorum.

- 3. The Board of Directors may approve expenditures
up to fifty dollars ($50.00). Larger expenditures shall be subject to
majority vote of the general membership, as provided in Article VI.

- 4. The Board of Directors shall have the power to
accept or reject gifts or donations made to the club.

- 5. The Board of Directors shall appoint a Safety
Officer.

- 6. The Board of Directors may create any other
positions or committees it requires to fulfill the club's objectives and all
other corporate and management powers not specifically denied to them shall
be vested in the Board.
B. President:
- 1. The President shall preside at all meetings and
shall direct the other affairs of the club to the best of his [or her]
ability. He [or she] shall be an ex-officer member of all committees.
C. Vice-President:
- 1. The Vice-President shall assist the President and
assume the duties of the President in his [or her] absence.
D. Secretary:
- 1. The Secretary shall keep an accurate record of
club meetings and shall transfer it to his [or her] successor.

- 2. The Secretary shall have custody of all club
records and documents other than though se necessary to the Treasurer. Any
member may inspect the records at a reasonable time convenient to both the
Secretary and the member.
E. Treasurer:
- 1. The Treasurer shall record and account for all
monies received by the club, including those received in the form of
assessments and initiation fees and all monies disbursed for any purpose.

- 2. The Treasurer shall draw checks and pay bills
upon authorized vote of the membership of the club during meetings or as
directed by the Board of Directors.

- 3. All checks shall be signed by the Treasurer and
counter-signed by another officer. In the Treasurer's absence any two
officers may sign.

- 4. The Treasurer shall make a financial report to
the club at each meeting or to the Board of Directors upon request.

- 5. The Treasurer shall transfer the records,
accounts, and all funds belonging to the club to his [or her] successor.

- 6. The Treasurer shall submit the records for
inspection by any member at a reasonable time convenient to both the
Treasurer and the member.
F. Election of Officers and Directors:
- 1. The elections shall be held at the first general
meeting in January of each year. The term of office for all Board members
shall be one year. Newly elected members of the Board shall assume their
duties at the close of the January meeting.

- 2. A Board member is requested to give 30 days
notice of resignation. Any vacancies or unfilled Board positions may be
filled until the next election by Board appointment.

- 3. The membership shall elect, at lea s t, the four
officers to the Board in January of each year. The three remaining positions
are intended to provide continuity to the club or to allow for Board
expansion as needed. These positions may be left unfilled. If the Board
drops below three members, a replacement must be appointed immediately.

- 4. A Board member may be dismissed from office by a
2/3 vote of the active membership. All members must be notified in writing
25 days prior to the vote on the proposed dismissal.

- 5. The President shall appoint a nominating committee to present nominations. The committee shall request nominations at
the first meeting in December; at the second meeting in December they shall
present the proposed ballot and accept additional nominations.

- 6. The election shall be held at the first general
meeting in January by secret ballot. Absentee ballots may be submitted and a
simple majority of one (1) absentee ballot submitted to the Secretary prior
to the election, plus two (2) votes of the members present at the election
shall be sufficient to elect. Write-in candidates are acceptable.
ARTICLE V
PROPERTY
A. All items issued by the club shall remain the
property of the club and must be returned upon request of the President or the
Board of directors.
B. The use of any property of the club will be governed
by the direction of the officers and the Board of Directors.
ARTICLE VI
MAJOR EXPENDITURES
A. Any proposal requiring an expenditure of club funds
or an assessment of members in excess of a total of $150.00 must be submitted in
detail to the club members at a regularly scheduled meeting. The vote on the
proposal shall be deferred until the next regularly scheduled meeting.
B. Any expenditure not exceeding $150.00 may be
authorized at any regularly scheduled meeting by proper vote of the membership.
C. All active members shall be notified in writing of
proposals requiring expenditures in excess of $150.00 before any meeting at
which such an expenditure is to be considered.
